These Terms of Service ("Terms") govern access to and use of the Diligence Forge platform ("the Platform") operated by OpsFi. By accepting them (via the in-app consent gate or use of the site) you agree to them. Counsel to confirm contracting entity, governing law/jurisdiction, and the relationship to the master services agreement / DPA with enterprise customers.
1. Eligibility and Accounts
The Platform is for business use by authorised representatives of invited organisations (lenders, investors, FDD providers, and related parties). You must provide accurate information, keep credentials secure, and are responsible for all activity under your account. Privileged roles must enrol in multi-factor authentication. Individual users acting within an organisation's account are also bound by the End User Terms.
2. Licence Grant and Restrictions
We grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the Platform solely for your internal business purposes during the term of your organisation's access. You must not access another tenant's data; probe or circumvent security, rate, or AI-spend controls; use automated extraction beyond the provided export features; reverse-engineer the Platform; or use it to build a competing service. Abuse of AI usage limits or rate controls is a material breach.
3. Intellectual Property and Your Content
You retain ownership of the financial and deal content you upload ("Your Content"). You grant us a limited licence to process Your Content solely to provide and improve the Platform. We and our licensors own the Platform, software, models, and all AI features.
4. AI-Assisted Features
The Platform uses AI to generate analysis, forecasts, summaries, drafts and other outputs ("AI Output"). AI Output is assistive only. It is probabilistic in nature and may contain errors, omissions, inconsistencies or hallucinations.
AI Output is not professional advice. It does not constitute financial, investment, credit, accounting, legal or any other professional advice. You must independently verify every figure, conclusion and recommendation against primary source documents and obtain review by qualified professionals before relying on it for any credit, investment, lending, acquisition or other decision.
To the maximum extent permitted by law, we disclaim all warranties and liability for any loss or damage arising from your use of or reliance on AI Output. You are solely responsible for all decisions and regulatory compliance. How AI features process data, which providers are used and what controls are available is described in the AI Use and Privacy Policy; the limits of reliance are set out in full in the Disclaimers and Reliance Statement.
5. Acceptable Use
You must not: attempt to access another tenant's data; probe, scan, or circumvent security or rate/spend controls; upload unlawful content or content you lack the right to process; reverse-engineer the Platform; use it to build a competing service; or use automated means to extract data beyond the provided export features. Abuse/rate and AI-spend controls are enforced; circumvention is a material breach. The Acceptable Use Policy expands on these obligations and forms part of these Terms.
6. Customer Data & Roles
For deal/financial content uploaded by a lender or FDD-provider customer, that customer is the data controller and OpsFi is a processor under the Data Processing Agreement. For personal data of portal users, OpsFi is the controller under the Privacy Policy. You must have the necessary rights and lawful basis for any personal data you upload or input.
7. Disclaimers, Liability and Availability
The Platform is provided on an "as available" basis without warranties of any kind, to the fullest extent permitted by law. We are not liable for decisions made in reliance on AI output or platform content. Certain limitations and indemnities are addressed in the enterprise MSA where applicable.
8. Suspension & Termination
We may suspend or terminate access for material breach (including security or acceptable-use violations). On termination, data handling follows the Privacy Policy, the Retention Schedule, and any applicable DPA.
9. Changes & Governing Law
Material changes bump POLICY_VERSION and require re-acceptance. Governing law and jurisdiction to be set by counsel.
