These Terms of Service ("Terms") govern your access to and use of Diligence Forge (the "Platform"), operated by OpsFi ("we", "us", or "our"). By accessing or using the Platform, creating an account, or clicking to accept, you agree to these Terms. If you do not agree, do not use the Platform.
Eligibility and Accounts
The Platform is for business use by authorised representatives of invited organisations (lenders, investors, FDD providers, and related parties). You must provide accurate information, keep credentials secure, and are responsible for all activity under your account. Privileged roles must use multi-factor authentication.
Licence Grant and Restrictions
We grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the Platform solely for your internal business purposes during the term of your organisation’s access. You must not access another tenant’s data; probe or circumvent security, rate, or AI-spend controls; use automated extraction beyond the provided export features; reverse-engineer the Platform; or use it to build a competing service. Abuse of AI usage limits or rate controls is a material breach.
Intellectual Property and Your Content
You retain ownership of the financial and deal content you upload ("Your Content"). You grant us a limited licence to process Your Content solely to provide and improve the Platform. We and our licensors own the Platform, software, models, and all AI features.
AI-Assisted Features
The Platform uses AI to generate analysis, forecasts, summaries, drafts and other outputs ("AI Output"). AI Output is assistive only. It is probabilistic in nature and may contain errors, omissions, inconsistencies or hallucinations.
AI Output is not professional advice. It does not constitute financial, investment, credit, accounting, legal or any other professional advice. You must independently verify every figure, conclusion and recommendation against primary source documents and obtain review by qualified professionals before relying on it for any credit, investment, lending, acquisition or other decision.
To the maximum extent permitted by law, we disclaim all warranties and liability for any loss or damage arising from your use of or reliance on AI Output. You are solely responsible for all decisions and regulatory compliance.
Acceptable Use
You must not upload content you lack rights to process; upload unlawful material; attempt to access other tenants’ data; circumvent security, billing or AI-spend controls; or use the Platform in any way that violates applicable law or harms the service or other users.
Data Roles and Privacy
For content uploaded by lender or FDD-provider customers, that customer is the data controller and we are a processor under the Data Processing Agreement. For personal data of portal users (borrowers, target representatives, etc.), we are the controller — see our Privacy Policy. You must have all necessary rights and lawful bases for any personal data you provide.
Disclaimers, Liability and Availability
The Platform is provided “as available” without warranties of any kind, to the fullest extent permitted by law. We are not liable for decisions made on the basis of Platform output, including AI Output. Certain limitations and indemnities are addressed in your organisation’s enterprise agreement (MSA) where applicable.
Suspension, Termination and Changes
We may suspend or terminate access for breach (including security or acceptable-use violations). Material changes to these Terms will bump the policy version; continued use after notice constitutes acceptance. On termination, data handling follows the Privacy Policy, retention schedule and any applicable DPA.
Governing Law and Contact
These Terms are governed by the laws of England and Wales (counsel to confirm final jurisdiction and any US-specific terms). Questions: privacy@opsfi.co.
