This statement explains what Diligence Forge is, what it is not, and what you may and may not rely on when you use it. It supplements — and where they conflict is subordinate to — the Terms of Service and any engagement letter or master services agreement between your organisation and its counterparties.
1. What the Platform is
Diligence Forge is software operated by OpsFi that supports the due diligence your organisation carries out itself. It organises deal information, structures information requests, applies analytical models, and drafts material for human review. It does not replace the professional judgement of the lenders, investors, FDD providers, auditors and advisers who use it.
2. What the Platform is not
- Not an adviser. The Platform does not provide financial, investment, credit, accounting, legal, tax or regulatory advice.
- Not a decision-maker or intermediary. The Platform does not make, recommend, match or introduce lending or investment decisions or parties. Any decision to lend, invest, acquire, price or decline remains entirely with your organisation.
- Not a regulated firm. OpsFi is not authorised or regulated by the UK Financial Conduct Authority or any other financial regulator, and the services do not constitute regulated activities (counsel to confirm the regulatory-perimeter analysis for each jurisdiction in which the Platform is offered).
- Not an audit or assurance provider. Nothing produced by the Platform is an audit, a review, an assurance engagement or a professional opinion. Readiness reviews, scores and checklists are preparation guidance only.
3. AI-assisted output
The Platform uses AI models to classify documents, validate information requests, draft analysis, summarise material and answer questions. All such material ("AI Output") is:
- Assistive only. It is a starting point for a qualified reviewer, not a conclusion.
- Probabilistic. It may contain errors, omissions, inconsistencies or fabricated detail, and it may be out of date relative to the documents it was asked about.
- Labelled. AI Output carries an attribution badge and is recorded in the AI Audit Trail with the provider, model and prompt version actually used.
- Subject to human review. Sign-off on any deliverable remains with the responsible human professional — in FDD engagements, the FDD provider named in the engagement letter.
You must independently verify every figure, conclusion and recommendation in AI Output against primary source documents before relying on it for any credit, investment, lending, acquisition or other decision. See also the AI Use and Privacy Policy.
4. Forecasts, models and benchmarks
Integrated three-statement forecasts, scenario models, serviceability estimates and industry benchmarks are illustrative. They depend on the assumptions, inputs and historical data supplied to them, and on the completeness and accuracy of the underlying documents. Past performance and peer benchmarks are not a guarantee of future results. Where the Platform labels an estimate as preliminary, it must not be relied upon for credit or investment decisions.
5. Third-party and public data
Some features retrieve data from public registries and third-party providers (for example Companies House, SEC EDGAR, and credit-reference services). That data is provided as received, may be incomplete or stale, and is subject to the terms of the originating source. OpsFi does not verify it and accepts no responsibility for its accuracy.
6. Deliverables produced through the Platform
FDD reports, credit-committee papers, factual-accuracy letters, engagement letters and similar documents produced through the Platform are the work product of the organisation that issues them, not of OpsFi. Who may rely on such a deliverable, and on what terms, is governed by the engagement letter or other agreement under which it was issued — including any limitation of liability, permitted-disclosure and no-duty-of-care provisions in that agreement. Nothing in the Platform creates a duty of care from OpsFi to any recipient of a deliverable.
7. Availability and information security
The Platform is provided on an "as available" basis. OpsFi applies the security measures described in the Privacy Policy and Data Processing Agreement, but no system is immune from interruption or compromise. You remain responsible for your own credentials, for who you invite into your deals, and for the material you choose to upload.
8. Status of these documents
Every document published in the Documentation Hub is an engineering-prepared draft pending review by qualified counsel, and is marked accordingly. Drafts are published in versioned form for transparency. The version you accepted through the in-app consent gate is recorded against your account and is shown in the Documentation Hub.
9. Precedence
If this statement conflicts with the Terms of Service, the Terms of Service prevail. If it conflicts with a signed engagement letter or master services agreement, that agreement prevails as between its parties.
