End User Terms

These End User Terms apply to you as an individual when you use Diligence Forge through an account that belongs to, or is sponsored by, an organisation (your "Organisation"). They sit alongside the Terms of Service, the Acceptable Use Policy and the Privacy Policy.

1. Your relationship with the Platform

Your access is granted because your Organisation, or a counterparty in a deal your Organisation is involved in, has invited you. Your Organisation's agreement with OpsFi (or with the counterparty) governs the commercial terms, and your Organisation is responsible for the users it authorises. You are responsible for your own conduct on the Platform.

2. Your account

  • Provide accurate identity details and keep them current.
  • Keep your password confidential and use a password that meets the Platform's policy.
  • Enrol in and use multi-factor authentication where your role requires it.
  • Tell your Organisation's administrator and OpsFi promptly if you believe your account has been compromised.

You may not transfer your account or allow anyone else to use it.

3. Your Organisation's administrators

Administrators of your Organisation can invite and remove users, change roles and seniority levels, configure organisation settings, and review activity within the Organisation's account — including the AI Audit Trail of work done on its deals. Where your Organisation is the data controller for your personal data, its administrators act on the Organisation's behalf.

4. Roles and permissions

What you can see and do depends on your role, your seniority level within your Organisation, and the permissions granted on each deal. You must not attempt to act beyond those permissions. Roles are set by your Organisation, not by you.

5. Working across more than one organisation

If you belong to more than one organisation on the Platform, you act within one active organisation at a time, and everything you do is attributed to the organisation that is active. Switching organisations never grants you access to data outside the organisation you have switched into.

6. Support access

OpsFi support staff may, for the purpose of resolving a problem you or your Organisation has raised, view the Platform as it appears to you. Such access is restricted to authorised staff, is logged in the audit ledger, and is subject to the confidentiality obligations in the Terms of Service and the Data Processing Agreement.

7. Content you contribute

Content you upload or write belongs to your Organisation or to the party that supplied it, according to the agreements governing the deal. You confirm you have the right to contribute it. Comments, notes and review decisions you record are attributed to you and retained as part of the deal record.

8. Your personal data

Where OpsFi is the controller of your personal data (for example if you use the Platform as a borrower or target-company representative), the Privacy Policy applies. Where your Organisation is the controller (for example if you are an employee of a lender or FDD provider), your Organisation's privacy notice applies and OpsFi processes your data under the Data Processing Agreement with your Organisation. You can exercise your rights as described in the Privacy Policy §7.

When you first sign in, and whenever a policy changes materially, you are asked to confirm that you have read the current version of the Terms of Service, Privacy Policy and data-processing notice. The version you accepted and when is recorded and shown in the Documentation Hub.

10. Leaving an organisation

If your Organisation removes you, or you leave it, your access to that Organisation's deals ends immediately. Records of actions you took remain part of the deal record in accordance with the Retention Schedule; your personal identifiers are handled as described in the Privacy Policy.

11. Suspension and termination

OpsFi or your Organisation may suspend or end your access for breach of these terms, the Acceptable Use Policy or the Terms of Service, or where required for security.

12. Precedence

If these End User Terms conflict with the Terms of Service, the Terms of Service prevail. If they conflict with your Organisation's agreement with OpsFi, that agreement prevails as between OpsFi and your Organisation.
